Position: Corporate Paralegal
Job Summary:
As a Corporate Paralegal, you will be responsible for providing comprehensive legal support to our organization's legal team, with a focus on corporate law and criminal justice matters. Your primary role will involve assisting in the preparation, coordination, and management of legal documents and corporate transactions. You will also assist in conducting legal research, maintaining legal databases, and ensuring compliance with relevant laws and regulations.
Responsibilities:
1. Assist in the preparation and coordination of legal documents, including contracts, agreements, and corporate filings.
2. Conduct legal research and assist in analyzing and interpreting relevant laws, regulations, and case precedents.
3. Assist in the management of corporate transactions, including mergers, acquisitions, financings, and joint ventures.
4. Prepare and maintain corporate governance documentation, including board meeting minutes, resolutions, and shareholder agreements.
5. Collaborate with internal stakeholders to gather and organize information necessary for legal proceedings, contracts, and compliance matters.
6. Support attorneys in the preparation of legal opinions, briefs, and other legal documents.
7. Maintain and update legal databases, tracking systems, and document management software.
8. Assist in the review and negotiation of contracts, ensuring compliance with legal requirements and company policies.
9. Support the legal team in managing litigation matters, including document production, witness interviews, and discovery responses.
10. Stay updated on changes in laws, regulations, and industry best practices relevant to the organization's operations.
Required Skills and Qualifications:
1. Bachelor's degree in Law, Criminal Justice, or a related field.
2. Proven experience as a paralegal, preferably with a focus on corporate law and criminal justice.
3. Strong understanding of legal terminology, principles, and procedures.
4. Proficient in conducting legal research using various resources and databases.
5. Excellent organizational skills, with the ability to manage multiple tasks simultaneously and meet deadlines.
6. Exceptional attention to detail and accuracy in preparing, proofreading, and editing legal documents.
7. Strong written and verbal communication skills, including the ability to effectively communicate complex legal concepts.
8. Proficient in using legal research tools, document management systems, and MS Office Suite.
9. Ability to maintain confidentiality and demonstrate high ethical standards.
10. Strong problem-solving and critical-thinking skills, with the ability to analyze complex legal issues.
11. Ability to work independently as well as collaboratively in a team-oriented environment.
